Cognizant Technology Solutions Mergers & Acquisitions (M&A) Project Manager-Ethics & Compliance in Teaneck, New Jersey

Cognizant Technology Solutions is seeking a Mergers & Acquisitions (M& A) Project Manager in the Global Ethics & Compliance (E& C) department. You will be a professional with significant experience in pre-acquisition diligence and post-acquisition integration and will help manage Cognizants M& A activity for our global E& C program. You will engage in the planning, execution, and delivery of M& A-related projects within prescribed timeframes and budgets. You will develop an advanced understanding of how M& A project activities contribute to the achievement of strategic business goals and operational objectives. The M& A Project Manager will collaborate with various legal and business partners, key stakeholders, and project/program teams to ensure objectives are met.
The M& A Project Manager will be U.S.-based and will have the flexibility to work remotely.

Primary Responsibilities:

  • Manage various phases of the M& A process for the E& C department, including the Due Diligence/deal phase and integration phase for newly acquired businesses and joint ventures.
  • Drive the E& C departments objectives and requirements in the M& A pre- and post-acquisition processes, including the analysis and quantification of risks, development of risk mitigation proposals to senior management, design and management of project plans, and management and communication with critical stakeholders.
  • Ensure M& A projects are being executed on time and on budget within a challenging environment while simultaneously prioritizing different projects and managing risk.
  • Capture, action, and raise issues and impediments to ensure that M& A projects continue effectively and unencumbered.
  • Exercise significant independent judgment within broadly defined policies and practices to determine the best method for accomplishing work and achieving objectives.
  • Develop innovative approaches to maximize the effectiveness of the compliance program within the M& A context.
  • Maintain access and structure of group share drive(s) and e-data room.
  • Invoice processing and administrative support, as needed.
  • Build relationships and collaborate with key business partners to ensure delivery of commitments.
