General Information

Six to 12 month contract opportunity with the Corporate, Securities and Finance Law group of the legal department, this position will have securities, banking and corporate law as its primary focus. The role will involve working closely with the other lawyers and the legal support team in the department in the provision of legal services to TransCanada, its subsidiaries and affiliates on prospectus offerings, banking arrangements and related due diligence and compliance as well as drafting and review of continuous disclosure documents. This position will report to the Director, Corporate, Securities and Finance Law.

Responsibilities

Where necessary, the incumbent will work independently and in a team setting to fulfill the specific responsibilities which will include the following:

  • Draft, review and negotiate documentation related to launch and execution of public offerings (equity and debt) and private placements in Canada and the U.S.;

  • Draft, review and negotiate credit facilities and loan agreements;

  • Draft, review and negotiate agreements or other documents or edit securities filing documents such as Management Information Circulars, Annual Information Forms, and other securities filings;

  • Assisting in the preparation of materials for the board of directors and its committees;

  • Drafting legal memoranda relating to corporate and securities law issues; and

  • Oversight of securities paralegals’ finance related work.

Qualifications

  • Strong knowledge of securities and corporate law;

  • Detail oriented with strong legal drafting skills;

  • Effective interpersonal, oral and written communication skills;

  • Demonstrated analytical and problem solving capabilities;

  • Proven ability to manage multiple competing priorities within tight timeframes;

  • Flexible and able to work in a dynamic, constantly changing environment.

Education and Experience

  • Law degree with three to five years post-articling experience is required;

  • Exposure to corporate and securities work;

  • Membership in a Canadian law society (preferably Alberta).
